אתר זה מנוהל על ידי חברת הופה דיגיטל בע"מ, ח.פ. 516802816 (להלן: "הופה דיגיטל", "אנחנו", "אנו"), שמענה הרשום הוא רחוב המשכית 10, הרצליה, ישראל. ניתן לפנות אלינו בכל עת באמצעות כתובת הדואר האלקטרוני: info@hopa.digital. בכל תלונה או בקשה המתייחסת לפעילות האתר אנא צרו עמנו קשר בכתובת זו.

הקדמה

הופה דיגיטל מאפשרת שירות הזמנה ותשלום באמצעות כרטיס אשראי באתר לנוחיותך, והיא אינה חברת אשראי, על כל העולה מכך.

שימוש בשירות

השימוש בשירות מותר למשתמשים בגיל 18 ומעלה שהינם כשירים לבצע פעולות משפטיות מחייבות. במידה והינך קטין (מתחת לגיל 18) או אינך זכאי לבצע פעולות משפטיות ללא אישור אפוטרופוס, השימוש בשירות מותנה בקבלת אישור כאמור. ביצוע פעולה באתר מהווה הצהרה כי קיבלת את האישור הנדרש. על אף האמור, רכישת מוצרים המוגבלים בגיל (כגון משקאות אלכוהוליים ומוצרי עישון) מותרת אך ורק למשתמשים בגיל 18 ומעלה, בהצגת תעודה מזהה.

הינך מתחייב ומצהיר כי ידוע לך ואתה מסכים כי השימוש באתר ו/או בשירותים המוצעים בו הינה על אחריותך בלבד. השימוש באתר, בשירותים ו/או בתכנים ניתן לך כמו שהוא (AS IS) בהתאם להחלטתנו, ובלי אחריות מכל סוג שהוא.

לא תהיה לך כל טענה, תביעה או דרישה כלפי הופה דיגיטל ביחד לתנאי שימוש אלה ו/או בגין האתר ו/או השירותים, יכולותיהם, מגבלותיהם, או התאמתם לצרכיך. הופה דיגיטל אינה אחראית בשום אופן לדיוק, אמינות, העמידה בזמנים, עדכניות, איכות, שלמות, שימושיות, אבטחה או ביצועים של האתר, התוכן ו/או השירותים. כל טענה בעניינים אלו יש להפנות ישירות לבית העסק ו/או חברת האשראי.

אחריות של הופה דיגיטל

הופה דיגיטל אינה אחראית בגין כל תמונה, תיאור, או הצגה של מוצר או שירות הכלול באתר, ואלו סופקו לה ישירות מבית העסק לצורך המחשה בלבד. ייתכנו פערים בין התמונות לבין המוצרים בפועל.

פרטיות ונגישות

הגבלת אחריות ושיפוי

השירות באתר ניתן כמות שהוא (AS-IS) וככל שהוא זמין (As Available). הופה דיגיטל אינה מתחייבת כי השירות יפעל ללא תקלות, ללא הפרעות, או יהיה חסין מפני גישה לא חוקית, נזקים, קלקולים, תקלות או כשלים בחומרה, בתוכנה או בקווי התקשורת.

הופה דיגיטל לא תישא בכל אחריות לכל נזק, ישיר או עקיף, תוצאתי או מיוחד, שייגרם למשתמש או לצד שלישי כלשהו כתוצאה משימוש באתר או חוסר יכולת להשתמש בו, לרבות (אך לא רק) אובדן הזדמנויות עסקיות, אובדן הכנסה, מניעת רווח, עוגמת נפש, או אובדן נתונים, וזאת גם אם הופה דיגיטל יכלה לצפות את קרות הנזק.

מבלי לגרוע מהאמור, מוסכם כי בכל מקרה ובכל עילה משפטית, תקרת האחריות המצטברת והכוללת של הופה דיגיטל כלפי המשתמש לא תעלה בשום מקרה על סכום העסקה ששולם בפועל על ידי המשתמש בגין השירות או המוצר הספציפי נשוא התביעה.

המשתמש מתחייב לשפות את הופה דיגיטל, עובדיה, מנהליה או מי מטעמה, מיד עם דרישתם הראשונה, בגין כל נזק, הפסד, אובדן רווח, תשלום או הוצאה (לרבות שכר טרחת עו"ד והוצאות משפט) שייגרמו להם עקב הפרת תנאי שימוש אלה על ידי המשתמש, שימוש לא ראוי באתר, או עקב כל טענה או תביעה של צד שלישי כתוצאה מפעולות המשתמש באתר.

מועדוני לקוחות והטבות

האתר עשוי לאפשר הצטרפות למועדון הלקוחות של בית העסק, צבירת נקודות ומימוש הטבות ("תוכנית הנאמנות"). מובהר כי הופה דיגיטל מספקת את הפלטפורמה הטכנולוגית בלבד לניהול תוכנית הנאמנות, באמצעות עצמה או באמצעות צד ג'. האחריות הבלעדית על הגדרת ההטבות, תוקפן, שויין ואפשרות מימושן חלה על בית העסק בלבד. במקרה של סגירת בית העסק או ביטול התוכנית על ידו, לא תהיה ללקוח כל טענה כלפי הופה דיגיטל לגבי אובדן נקודות או הטבות שנצברו.

תרגום שפות

האתר עשוי להציע כלי תרגום אוטומטי (מבוסס AI) לשפות שונות לנוחיות המשתמש. התרגום מתבצע באופן מכונה ועלול לכלול אי-דיוקים או שגיאות. הנוסח המחייב של התפריט, המחירים ותנאי העסקה הוא הנוסח בשפה המקורית כפי שהוזן על ידי בית העסק והינו על אחריותו בלבד. הופה דיגיטל אינה אחראית לכל נזק או אי-הבנה שייגרמו כתוצאה מהסתמכות על התרגום האוטומטי.

מידע על מוצרים, רכיבים ואלרגנים

המידע המוצג באתר לגבי מוצרים ושירותים (ובפרט מוצרי מזון), לרבות רכיבים, סימון תזונתי ומידע על אלרגנים (גלוטן, אגוזים, חלב וכו'), מתקבל כפי שהוא (As-Is) מבית העסק. הופה דיגיטל אינה בודקת את המוצרים בפועל ואינה יכולה להבטיח כי המוצרים (לרבות מנות מזון) נקיים מאלרגנים, גם אם הדבר צוין או לא צוין במפורש בתיאור. האחריות המלאה והבלעדית לבדיקת הרכיבים והתאמתם למגבלות הבריאותיות של המזמין חלה על בית העסק ועל הלקוח. במקרה של רגישות או אלרגיה, חובה ליצור קשר טלפוני עם בית העסק לפני ביצוע ההזמנה לווידוא.

סליקה באמצעות הופה דיגיטל

הופה דיגיטל מציגה מחירים של מוצרים ו/או שירותים שונים, ואת מחירם, כפי שהתקבל מבית העסק. הופה דיגיטל אינה מתחייבת לעדכניות המחירים המוצגים באתר, וכי ישקפו בהכרח את מחיר המוצר כפי שיימכר בפועל על ידי בית העסק. כל המחירים באתר כוללים מע"מ (בכפוך לכל שינוי במיסים אלו), וכן כל חיוב שתידרשו לשלם על ידי בית העסק. הופה דיגיטל לא תהא אחראית לטעויות, פערים ו/או אי דיוקים אשר יהיו בין המחירים המוצגים באתר לבין המחירים שמציג בית העסק, ולא תחוב בכל נזק ו/או חסרון כיס שיגרם לך או לצד שלישי כתוצאה מהסתמכות על המחירים המוצגים.

חשבוניות ומסמכים חשבונאיים

 הופה דיגיטל משמשת כמתווכת טכנולוגית לביצוע ההזמנה. חשבונית המס / קבלה בגין העסקה תופק על ידי בית העסק (המוכר) או על ידי הופה דיגיטל בשם ועבור בית העסק (באמצעות מערכות הפקת מסמכים דיגיטליות). בכל מקרה, האחריות החוקית והמיסויית בגין העסקה חלה על בית העסק בלבד. במקרים של תשלום בקופה ("Pay at Counter"), המסמך החשבונאי יופק ויימסר על ידי ובאחריות בית העסק במעמד התשלום בפועל.

מדיניות אספקה ומתן שירותים

המוצרים והשירותים הנמכרים באתר מסופקים על ידי בית העסק ובהתאם לאופיים. אספקת המוצרים תתבצע בהתאם לבחירת הלקוח בעת ההזמנה (כגון: משלוח, איסוף עצמי, או קבלת שירות בבית העסק) ובכפוף לזמני האספקה והמדיניות המוגדרים על ידי בית העסק. זמני האספקה המוצגים באתר הם הערכה בלבד ותלויים בבית העסק ובספקי צד שלישי. במקרה של איסוף עצמי או מימוש שירות, באחריות הלקוח להגיע לבית העסק במועד המתאים או לאחר קבלת חיווי על מוכנות ההזמנה.

אחריות למוצרים ושירותים

האחריות הבלעדית לטיב המוצרים והשירותים, איכותם, תקינותם והתאמתם לתיאור המופיע באתר חלה על בית העסק בלבד. הופה דיגיטל משמשת כפלטפורמה טכנולוגית המקשרת בין הלקוח לבית העסק ואינה צד לייצור, אספקה או מתן השירות בפועל. בכל מקרה של פגם, אי-התאמה או תלונה לגבי המוצר או השירות שנרכש, יש לפנות ישירות לבית העסק ממנו בוצעה ההזמנה.

טעויות סופר

במקרים בהם נפלה טעות ברורה בתיאור המוצר או במחירו (טעות סופר חריגה), לבית העסק ו/או להופה דיגיטל שמורה הזכות לבטל את ההזמנה גם לאחר אישורה. במקרה כזה, יוחזר ללקוח מלוא הסכום ששולם, ולא תהיה לו כל טענה נוספת.

קישורים חיצוניים

האתר עשוי להכיל קישורים ("לינקים") לאתרים חיצוניים או פרסומות של צדדים שלישיים. הופה דיגיטל אינה אחראית לתוכן, לאמינות או לתקינות של אותם אתרים. השימוש בקישורים אלו הוא באחריות המשתמש בלבד.

קבלת החלטות

זהו שיקול דעתך הבלעדי, אם ברצונך לשלם באמצעות הופה דיגיטל או ישירות לבית העסק.

ככל שבחרת לשלם באמצעות אתר הופה דיגיטל, אמצעי התשלום בו תשתמש (כרטיס אשראי, ארנק דיגיטלי, כרטיס הסעדה כגון סיבוס/תןביס וכו') יחויב עם השלמת ההזמנה. התשלום באמצעות שירותים חיצוניים (כגון Bit, Apple Pay, סיבוס) כפוף גם לתנאי השימוש של אותם שירותים חיצוניים. הופה דיגיטל אינה אחראית בגין תשלומים אשר סורבו ו/או בוצעו באופן שגוי, מכל סיבה שהיא.

הופה פועלת לפי דרישות בית העסק הרלוונטי, ולפי כל קביעה של רף מינימום או מקסימום להזמנה, וכן כל מגבלה אחרת מטעמו.

זכויות העסק

הופה דיגיטל מבהירה כי בית העסק שומר לעצמו את הזכות להפסיק את אפשרות ההזמנה דרך האתר בכל עת ולפי שיקול דעתו הבלעדי. זאת עלולה להתרחש, לרבות-אך לא רק, במקרים של עומס הזמנות קודם, מצב בו נגמרו מוצרים במלאי, או כל סיבה אחרת שבגין הבית העסק רואה לנכון להפסיק זמנית את ההזמנות. אנו ממליצים ללקוחותינו לוודא את קבלת ההזמנה לאחר השלמת התהליך באתר, ולהיות מודעים לאפשרות של שינויים אחרונים או ביטולים מצד בית העסק.

מגבלות השירות

הופה דיגיטל ובתי העסק השותפים מתחייבים למקסם את נוחות המשתמשים ואת חוויית השירות. עם זאת, ייתכנו מקרים בהם בית העסק יחליט להגביל או לסגור את האפשרות לביצוע הזמנות דרך האתר, בהתאם לשיקול דעתו, כולל אך לא רק, מצבים של עומס הזמנות או מחסור במלאי. במקרים כאלו, נשתדל לעדכן את המשתמשים בהקדם האפשרי על שינויים אלה. אנו ממליצים למשתמשים לבדוק את זמינות השירות לפני השלמת ההזמנה.

מכירת אלכוהול

הממשק שהופה מספקת עשוי לאפשר רכישת משקאות אלכוהוליים ממסעדות שונות. ביצוע הזמנה של משקאות אלכוהוליים דרך האתר מהווה הצהרה מצד המשתמשים כי הם בני 18 ומעלה. הופה דיגיטל אינה בודקת את גיל המשתמשים ואינה אחראית לאימות גילם. כמו כן, המסעדות המספקות את ההזמנה רשאיות לדרוש הוכחת גיל בעת המסירה ולסרב לספק משקה אלכוהולי אם המזמין אינו מספק הוכחת גיל מתאימה.

שמירת זכויות

מבלי לגרוע מכל האמור לעיל, הופה דיגיטל שומרת לעצמה את הזכות למנוע ממך לבצע הזמנה, בכל עת ועל פי שיקול דעתה הבלעדי, לפני או אחרי ביצוע ההזמנה, במידה וזו נעשתה על ידך באופן פסול ו/או בניגוד לדין ו/או שהעסקה לא הושלמה, לרבות אך לא רק, במקרים הבאים: חברת האשראי לא אישרה את החיוב בגין ההזמנה ו/או כרטיס האשראי אשר נעשה בו שימוש נחסם או הוגבל לשימוש בדרך כלשהי; מסרת פרטים שגויים אשר לא אפשרו את ביצוע ההזמנה; אתה נמנע מלשלם, שלא כדין, בגין ההזמנה; עשית או שאתה מנסה לעשות שימוש בשירותים לביצוע מעשה בלתי חוקי, או כדי לאפשר, להקל, לסייע, או לעודד ביצועו של מעשה זה; ביצעת מעשה או מחדל הפוגעים או העלולים לפגוע בהופה דיגיטל, בבית העסק, או בצדדים שלישיים כלשהם בקשר לביצוע ההזמנה; הפרת את תנאי השימוש לעיל או כל הסכם אחר מול הופה דיגיטל ו/או בית העסק, או מי מטעמם; אם יתברר כי נפלה טעות סופר או טעות טכנית בהצגת פרטי המוצר, מחירו, תנאי התשלום וכיו"ב; אם יתברר כי ארעה תקלה בתקשורת ו/או בעיה טכנית אחרת שמנעה ממך לבצע הזמנה באופן תקין; במקרה של כוח עליון, פעולות מלחמה, איבה או טרור או פעולות אחרות אשר אינן בשליטת הופה דיגיטל ו/או בית העסק ומונעים או עשויים למנוע, על פי שיקול דעתה של הופה דיגיטל, את ביצוע ההזמנה.

קניין רוחני

כל זכויות הקניין הרוחני באתר, לרבות קוד המחשב, העיצוב הגרפי, בסיסי הנתונים, סימני המסחר (בין אם נרשמו ובין אם לאו), שמות המתחם (Domain) וכל תוכן אחר הקשור להפעלת האתר, הינם רכושה הבלעדי של הופה דיגיטל (או של צדדים שלישיים שהתירו לחברה להשתמש בהם). אין להעתיק, לשכפל, להפיץ, למכור, לשווק או לתרגם מידע כלשהו מן האתר, לרבות סימני מסחר, תמונות וטקסטים, בלא קבלת רשותה של החברה מראש ובכתב.

תוכן גולשים (UGC)

האתר עשוי לאפשר למשתמשים להעלות תכנים, לרבות ביקורות, תמונות, דירוגים ותגובות. בעת העלאת תוכן, המשתמש מצהיר כי הוא הבעלים הבלעדי של הזכויות בו, וכי התוכן אינו מפר כל דין. המשתמש מעניק להופה דיגיטל רישיון בלתי-חוזר, כלל-עולמי וללא תמורה, לעשות בתוכן כל שימוש, לרבות שימוש שיווקי. הופה דיגיטל רשאית להסיר תוכן בכל עת לפי שיקול דעתה.

איסור קצירת מידע (Scraping)

חל איסור מוחלט להפעיל יישומי מחשב (כגון Crawlers, Robots, AI Bots) לשם סריקה, העתקה או אחזור אוטומטי של תכנים מהאתר, או לשם יצירת מאגר מידע מתחרה. הפרה של סעיף זה תחשוף את המפר לתביעות בגין הפרת קניין רוחני וסודות מסחריים.

ביטול הזמנה

מרגע ביצוע ההזמנה מבית העסק, באמצעות האתר של הופה דיגיטל, לא ניתן לבטל את ההזמנה, אלא בכפוף למדיניות בית העסק ובפניה ישירה אליו בלבד, וזאת בכפוף ובהתאם לתקנות הגנת הצרכן (ביטול עסקה), התשע”א-2010 וחוק הגנת הצרכן, התש”א-1981. ניתן לבקש זיכוי בעבור הזמנה, שבוצעה באמצעות אתר הופה דיגיטל, ישירות מבית העסק, וזהו שיקול דעתו הבלעדי של בית העסק אם לאפשר מתן זיכוי זה.

דין וסמכות שיפוט

על תקנון זה ועל השימוש באתר יחולו אך ורק דיני מדינת ישראל. כל מחלוקת שתתגלה בין הצדדים לרבות מחלוקת בקשר לשימוש באתר ו/או בקשר לתנאי שימוש אלה, תהיה בסמכות השיפוט הבלעדית של בתי המשפט המוסמכים במחוז תל-אביב-יפו.

The user undertakes to indemnify Hopa Digital, its employees, managers, or anyone on its behalf, immediately upon their first demand, for any damage, loss, loss of profit, payment, or expense (including legal fees and court costs) caused to them due to the user's violation of these terms of use, improper use of the site, or due to any claim or demand by a third party resulting from the user's actions on the site.

Loyalty Clubs and Benefits

In the case of the business closing or cancelling the program, the customer shall have no claim against Hopa Digital regarding the loss of accumulated points or benefits.

Language Translation

The site may offer an automatic translation tool (AI-based) to various languages for user convenience. The translation is performed by machine and may include inaccuracies or errors. The binding version of the menu, prices, and transaction terms is the version in the original language as entered by the business and is under its sole responsibility. Hopa Digital is not responsible for any damage or misunderstanding caused by reliance on the automatic translation.

Information on Products, Ingredients, and Allergens

Information displayed on the site regarding products and services (specifically food products), including ingredients, nutritional labeling, and allergen information (gluten, nuts, dairy, etc.), is received "As-Is" from the business. Hopa Digital does not physically inspect the products and cannot guarantee that the products (including food dishes) are free of allergens, whether explicitly stated or not in the description. The full and exclusive responsibility for checking ingredients and their suitability for the ordering customer's health restrictions lies with the business and the customer. In case of sensitivity or allergy, it is mandatory to contact the business by phone before placing the order for verification.

Transaction Processing through Hopa Digital

Hopa Digital displays the prices of various products and/or services, as received from the business. Hopa Digital does not guarantee the currentness of the prices displayed on the website, nor that they necessarily reflect the actual selling price of the product by the business. All prices on the website include VAT (subject to any tax changes) and any other charges you will be required to pay by the business. Hopa Digital is not liable for errors, discrepancies, and/or inaccuracies between the prices displayed on the website and those provided by the business, nor will it be liable for any damage and/or financial loss caused to you or a third party as a result of reliance on the displayed prices.

Invoices and Accounting Documents

Hopa Digital serves as a technological intermediary for placing the order. The tax invoice/receipt for the transaction will be produced by the business (the seller) or by Hopa Digital on behalf of and for the business (via digital document production systems). In any case, the legal and tax liability for the transaction lies with the business only. In cases of "Pay at Counter", the accounting document will be produced and delivered by and under the responsibility of the business at the time of actual payment.

Supply and Service Delivery Policy

The products and services sold on the site are supplied by the business and in accordance with their nature. The supply of products will be carried out according to the customer's choice at the time of ordering (such as: delivery, self-pickup, or receiving service at the business premises) and subject to the supply times and policy defined by the business. Supply times displayed on the site are estimates only and depend on the business and third-party providers. In the case of self-pickup or service redemption, it is the customer's responsibility to arrive at the business at the appropriate time or after receiving an indication that the order is ready.

Responsibility for Products and Services

The sole responsibility for the quality of the products and services, their condition, and their conformity to the description appearing on the site lies with the business only. Hopa Digital serves as a technological platform connecting the customer to the business and is not a party to the production, supply, or actual provision of the service. In any case of defect, non-conformity, or complaint regarding the product or service purchased, please contact the business from which the order was placed directly.

Clerical Errors

In cases where a clear error has occurred in the product description or price (an exceptional clerical error), the business and/or Hopa Digital reserves the right to cancel the order even after its confirmation. In such a case, the full amount paid will be refunded to the customer, and they shall have no further claim.

Decision Making

It is solely your decision whether you wish to pay through Hopa Digital or directly to the business. Additionally, the restaurants providing the order are entitled to require proof of age at the time of delivery and to refuse to provide an alcoholic beverage if the customer does not provide suitable age verification.

Reservation of Rights

Order Cancellation

Law and Jurisdiction

Any dispute arising between the parties, including regarding the use of the site and/or these terms of use, shall be under the exclusive jurisdiction of the competent courts in the Tel Aviv-Yafo district.
